What does DAO LLC mean for shared ownership?

The DAO LLC model, or modernized “LLC,” converts real assets into digital ones, making real estate investments more profitable and diversified while ensuring that investors retain full ownership rights. 

We use the DAO LLC model
DAO — Decentralized Autonomous Organization:
you and a community of investors who make decisions using smart contracts and voting.
LLC — Limited Liability Company:
an officially registered company in Wyoming, USA — with limited liability, which has legal protection and can enter into contracts.
How can I know that these tokens represent something real та legally protected?
To answer this question, we have combined the best of both worlds: a legally recognized LLC structure that provides ownership rights and a DAO structure that adds transparency, automation, and global accessibility with limited issuance.

At this point, DAO LLC legally acquires the value of the asset and, accordingly, your shares—tokens.
Connection to your wallet
DAO LLC connects to your wallet when you decide to become a co-owner of the property. To do this, you undergo KYC verification, which is required by the corporate law of the state of Wyoming, USA.

After purchasing your share, your wallet is recorded in the smart contract registry linked to a specific DAO LLC. If necessary, state agencies may request identification of your identity as a co-owner of the asset—real estate.

Find the smart contract linked to the object
After downloading the registration documents, find the “Public Identifier” section. At this stage, you can check the compliance of the smart contract in which you are purchasing shares on the platform and specified in the organization's DAO.

After purchase, tokens and shares are displayed in your wallet
After purchasing shares on the primary market, regardless of the platform, the shares are stored in your personal wallet, which is protected by a cryptographic password consisting of 12/24 phrases.

Please note: tokens for construction projects will be displayed after the villa has been converted to rental property status.
Why is an investment agreement necessary?

An investment agreement is an agreement between a local company owned by your DAO and the previous owner.

The local company that draws up the agreement with the previous owner operates under the management of and belongs to a specific DAO LLC.

The company also has representatives from the DAO who are signatories and representatives of the interests of the co-owners of a specific property. On the Binaryx platform, these are Oleg, CEO, and Andriy Fedosenko, CAO, co-founders of Binaryx.

How can I know that the investment agreement has legal significance and is linked to the DAO?
We have created a system that combines legal ownership, financial security, and operational transparency. Each step is a system that works to protect the interests of investors.

Protection of legal ownership rights
Registered property rights:
After full payment for the property, investors receive legally registered ownership rights to the property, confirmed by an official document—the Investment Agreement, which includes the property itself and the land.
Protective mechanisms in the contract
For each property, special additional conditions are agreed upon in case of delays in construction or delays in the re-registration of property rights. 

In addition, we agree on guarantees for cosmetic repairs for 1-2 years, 10 years for structures and load-bearing elements, or the correction of certain issues upon transfer of the finished property.

How does the investment agreement work?
Representatives of your DAO LLC sign an investment agreement on the transfer of rights to the property between a local company, established, for example, in Indonesia (PT), and the previous owner of the villa or apartment.

The local company has the authorized capital from the DAO LLC, and it is this local company that owns the rights to the property. You and other investors own this local company through the DAO LLC.

This structure helps foreign capital acquire ownership rights to various types of real estate. Due to legal restrictions, most countries do not allow foreigners to directly own real estate.
Legal support
Our legal support in the execution of agreements is a basic package and is included in the platform commission, which is 5% of the property value and is included in the price immediately.

If desired, investors can choose their representative by organizing a vote.

Please note: 5% is not the cost of legal services, but the total commission for all platform services related to the tokenization of the property for investors.

• For completed properties on the primary market — after the sale agreement has been concluded and the required amount has been collected.

What is digitization/tokenization?

Tokenization is the process of converting physical assets into digital tokens on a blockchain. Instead of purchasing an entire property for a large sum of money, you can purchase tokens that represent a share of ownership in the property. How it works:

A property worth $350,000 is divided into thousands of tokens. You buy tokens at an affordable price (for example, from $30.7). You get the right to a share of the rental income, the right to democratically decide the fate of your property together with other co-owners, and you can sell tokens to other investors.

This is a very common question from our investors — about reviews left on various unverified websites.

What is the truth?

The attackers demanded money from our CEO and co-founder, Oleg Kurchenko, in exchange for not spreading false information on Instagram. We did not succumb to the provocation and ignored the demand. We have screenshots of these threats and shared this information with our community.

Since we did not pay any money, false information was created and disseminated. We have all the evidence to prove this, because our reputation is your increased capital, which best reflects the real situation.

What do we do?

For our part, we have taken legal action against the dissemination of misinformation. Some links have already been removed and websites blocked. Unfortunately, there are still some links left, and we are working within the legal framework together with Google and Bing search engines to remove all links that mislead our investors and potential co-owners.
